VEHICLE SALE AGREEMENT (AS IS)

3. SALE PRICE AND PAYMENT

The total sale price for the Vehicle is [SALE PRICE (KWD)] Kuwaiti Dinars (KWD [SALE PRICE IN WORDS]). The Buyer shall pay the full sale price to the Seller in the following manner: [PAYMENT METHOD DETAILS] The Seller hereby acknowledges receipt of the full payment of the sale price as described above, and confirms that the Vehicle is sold free and clear of any liens, encumbrances, or claims. This constitutes a full release and satisfaction of all debts and obligations related to the sale price.

4. CONDITION OF VEHICLE (AS IS)

The Buyer acknowledges that they have thoroughly inspected the Vehicle to their satisfaction, including its mechanical condition, bodywork, interior, and all other aspects. The Buyer accepts the Vehicle in its current condition ('as is', حالها التي هي عليه) on the date of this Agreement. The Seller makes no warranties, express or implied, regarding the Vehicle's condition, performance, merchantability, or fitness for a particular purpose, except as may be mandated by Kuwaiti law that cannot be contractually waived. The Buyer confirms they have had the opportunity to conduct an independent mechanical inspection if they so chose.

5. TRANSFER OF OWNERSHIP AND RESPONSIBILITIES

Upon full payment of the sale price and signing of this Agreement, the Seller shall deliver the Vehicle and its registration documents (Al- Daftar) to the Buyer. The Buyer assumes all risks and responsibilities associated with the Vehicle from the moment of physical possession. All traffic violations, fines, fees, or liabilities incurred before the date of this Agreement shall be the responsibility of the Seller. 6. SELLER'S DECLARATIONS

The Seller declares and warrants that: a. They are the legal owner of the Vehicle and have the full right and authority to sell it. b. The Vehicle is free from any mortgages, liens, charges, or encumbrances. c. To the best of their knowledge, there are no undisclosed major defects or hidden issues with the Vehicle that would render it unsafe or unfit for its intended use, beyond normal wear and tear expected for a vehicle of its age and condition. The Seller agrees to disclose any known significant issues not apparent upon inspection.

7. BUYER'S ACKNOWLEDGMENTS

The Buyer acknowledges that: a. They have had the opportunity to inspect the Vehicle thoroughly and are purchasing it 'as is'. b. They are responsible for obtaining mandatory vehicle insurance (التأمين الإجباري) in their name for the Vehicle prior to or during the official ownership transfer process. c. They will be responsible for all future registration renewals, taxes, fees, and liabilities associated with the Vehicle.

8. GOVERNING LAW AND DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of Kuwait. Any disputes arising out of or in connection with this Agreement shall first be attempted to be resolved through amicable negotiation. If a resolution cannot be reached, the Parties agree to submit the dispute to the competent courts of the State of Kuwait.

9. ENTIRE AGREEMENT

This document constitutes the entire agreement between the Parties concerning the sale of the Vehicle and supersedes all prior discussions, negotiations, and agreements, whether oral or written. No amendment or modification of this Agreement shall be effective unless it is in writing and signed by both Parties.

10. NOTICES

All notices and other communications required or permitted under this Agreement shall be in writing and shall be deemed given when delivered personally, or sent by registered mail or courier service to the addresses of the Parties set forth in Section 1.

11. COUNTERPARTS

This Agreement may be executed in one or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
