VEHICLE SALE AND WARRANTY TRANSFER AGREEMENT Template — 🇳🇬 Nigeria

In Nigeria, a dedicated 'Warranty Transfer Agreement' is not a government-mandated document for vehicle ownership transfer. However, this private contractual document is crucial for transparently detailing any remaining manufacturer or extended warranty coverage on a used vehicle during a sale. While the Federal Road Safety Corps (FRSC) and state Motor Vehicle Administration Agencies (MVAA) primarily focus on the change of ownership process (e.g., Form MVA 5 and logbook update), this agreement provides essential protection for the buyer under the Federal Competition and Consumer Protection Act (FCCPA) 2018. It is recommended to have both parties and witnesses sign this document, and it should ideally accompany the main change of ownership paperwork.

About This VEHICLE SALE AND WARRANTY TRANSFER AGREEMENT Template

Some used vehicle sales in Nigeria involve an existing manufacturer or dealer warranty that the seller wants to pass along to the buyer — this agreement covers both the sale itself and the specific terms under which that warranty transfers, since not every warranty is automatically assignable.

The Federal Competition and Consumer Protection Act 2018 and the older Sale of Goods Act 1893 both shape this space, and the FCCPA in particular means sellers can't simply disclaim all liability with a blanket "as is" clause — misleading warranty claims are prohibited, and certain implied conditions of quality and fitness carry through even in private sales. That's the backdrop this agreement needs to reflect: a clear, honest statement of whether a warranty exists, what it actually covers, and whether the manufacturer or dealer allows it to transfer to a new owner at all — something worth confirming directly with the warranty provider rather than assuming, since many manufacturer warranties are tied specifically to the original owner.

Beyond the warranty clause, the agreement should cover what any vehicle sale needs: full identification of both parties including NIN, complete vehicle details (VIN/chassis number, engine number, plate number, odometer reading), the agreed price in Naira and payment terms, and the seller's warranty of clear title. Supporting documents worth referencing include the roadworthiness certificate, existing insurance, and — for imported vehicles — customs papers, since these matter for both the sale itself and the FRSC-regulated registration process that follows.

The private agreement doesn't complete the legal transfer on its own. That still runs through Form MVA 5 and the standard change-of-ownership process at the state MVAA, updating the logbook into the buyer's name — a step that needs to happen within roughly 30 days, since the seller remains legally responsible for the vehicle until it's done. Requirements vary somewhat by state; Lagos MVAA in particular tends to have more detailed processes than some other states.

The most common issue with these agreements isn't the sale terms — it's an unclear warranty section, where a seller implies coverage exists without confirming it's actually transferable, leaving the buyer to discover otherwise only after something goes wrong.

Confirm directly with the warranty provider that it's actually transferable before relying on this clause — some manufacturer warranties are tied to the original owner and don't carry over regardless of what the sale agreement says.
