HIRE PURCHASE AGREEMENT FOR MOTOR VEHICLE

This Hire Purchase Agreement is a contract for the hire and eventual purchase of a motor vehicle in Nigeria, allowing the hirer to use the vehicle while making instalment payments. Ownership transfers only upon full payment.

1. PARTIES

This Hire Purchase Agreement (the "Agreement") is made on this [DATE OF AGREEMENT] by and between: THE OWNER: [OWNER'S FULL NAME], a [OWNER'S TYPE (E.G., COMPANY, INDIVIDUAL)] with RC Number [OWNER'S RC NUMBER (IF COMPANY)] (if applicable), whose registered address is at [OWNER'S REGISTERED/PRINCIPAL ADDRESS], represented by [OWNER'S REPRESENTATIVE NAME (IF COMPANY)] (hereinafter referred to as the "Owner"). AND THE HIRER: [HIRER'S FULL NAME], an individual with National Identification Number (NIN) [HIRER'S NATIONAL IDENTIFICATION NUMBER (NIN)], Bank Verification Number (BVN) [HIRER'S BANK VERIFICATION NUMBER (BVN)], or Passport Number [HIRER'S PASSPORT NUMBER (IF NO NIN/BVN)], whose residential address is at [HIRER'S RESIDENTIAL ADDRESS], (hereinafter referred to as the "Hirer"). The Owner and the Hirer may be referred to individually as a "Party" and collectively as the "Parties".

2. RECITALS

WHEREAS, the Owner is the lawful owner of the motor vehicle described in the Schedule hereto (the "Vehicle"); WHEREAS, the Hirer desires to hire the Vehicle from the Owner on the terms and conditions hereinafter appearing, with an option to purchase the Vehicle upon fulfilling all the terms and conditions of this Agreement. WHEREAS, this Agreement is made pursuant to the Hire Purchase Act (Cap. H4, Laws of the Federation of Nigeria 2004) and other applicable laws of Nigeria.

3. HIRING OF VEHICLE

The Owner hereby lets the Vehicle to the Hirer, and the Hirer hereby hires the Vehicle from the Owner, subject to the terms of this Agreement. The Hirer shall have possession and use of the Vehicle immediately upon the signing of this Agreement and payment of the initial deposit, but the property in the Vehicle shall remain with the Owner until the Hire Purchase Price is paid in full and the option to purchase is exercised.

4. VEHICLE PARTICULARS

The Vehicle subject to this Agreement is described in detail in the Schedule attached hereto, including but not limited to its Make, Model, Year of Manufacture, Chassis Number (VIN), Engine Number, Registration Number (if applicable), Colour, and any other identifying marks sufficient to identify the Vehicle.

5. FINANCIAL TERMS

The total Hire Purchase Price for the Vehicle is N[TOTAL HIRE PURCHASE PRICE (₦)]. This includes the Cash Price of N[CASH PRICE OF VEHICLE (₦)], the initial Deposit of N[DEPOSIT PAID (₦)] paid by the Hirer on or before the signing of this Agreement, and the remaining balance payable by way of instalments. The Hirer agrees to pay the balance of the Hire Purchase Price in [INSTALMENT FREQUENCY (E.G., MONTHLY, WEEKLY)] instalments of N[AMOUNT PER INSTALMENT (₦)] each, payable on or before the [DAY OF INSTALMENT PAYMENT] day of each [INSTALMENT PERIOD (E.G., MONTH, WEEK)] starting from [DATE OF FIRST INSTALMENT PAYMENT]. The total amount of interest payable under this Agreement is N[TOTAL INTEREST AMOUNT (₦)], representing a true rate of interest of [TRUE RATE OF INTEREST (%)]% per annum, calculated in accordance with applicable regulations.

6. HIRER'S OBLIGATIONS

The Hirer shall: (a) Use the Vehicle in a proper and careful manner and only drive it in accordance with the provisions of the law and the terms of any applicable insurance policy. (b) Keep the Vehicle in good and serviceable condition, at the Hirer's own expense, and promptly carry out all necessary maintenance and repairs. (c) Not sell, assign, transfer, pledge, mortgage, or otherwise part with possession of the Vehicle or create any encumbrance over it. (d) Insure the Vehicle comprehensively with an insurer approved by the Owner, for its full replacement value, and provide proof of such insurance to the Owner. (e) Not use the Vehicle for any unlawful purpose or in contravention of any law or regulation in Nigeria. (f) Permit the Owner or its agent to inspect the Vehicle at any reasonable time. (g) Notify the Owner immediately of any accident, damage, or loss to the Vehicle. (h) Bear all costs associated with the Vehicle's registration, roadworthiness inspections, insurance, fuel, and general upkeep.

7. OWNER'S RIGHTS AND WARRANTIES

The Owner warrants that they have the right to let the Vehicle on hire-purchase terms. The Owner reserves the right to repossess the Vehicle upon default by the Hirer in the payment of any instalment or in the performance of any other obligation under this Agreement, subject always to the provisions of the Hire Purchase Act regarding repossession, particularly after payment of three-fifths of the Hire Purchase Price. Upon full payment of the Hire Purchase Price and exercise of the option to purchase, the Owner shall provide the Hirer with all necessary documents to transfer ownership and complete registration with the Federal Road Safety Corps (FRSC) and relevant authorities.

8. OPTION TO PURCHASE AND TITLE TRANSFER

Upon payment of the final instalment and any nominal option fee (if specified, N[NOMINAL OPTION FEE (₦) (IF APPLICABLE)]), the Hirer shall have the option to purchase the Vehicle. Upon exercise of this option and confirmation of full payment, the Owner shall transfer title and ownership of the Vehicle to the Hirer. The Hirer is responsible for all costs and procedures related to the change of ownership registration with the FRSC and any other relevant body.

9. DEFAULT AND TERMINATION

If the Hirer defaults in payment or breaches any term of this Agreement, the Owner may terminate the Agreement and repossess the Vehicle, subject to the statutory protections afforded to the Hirer under the Hire Purchase Act. In the event of termination, the Hirer shall be liable for arrears of instalments, damages, and other expenses incurred by the Owner, less the value of the Vehicle recovered and any portion of the Hire Purchase Price already paid, as stipulated by law.

10. STATUTORY NOTICE

IMPORTANT: THIS IS A HIRE PURCHASE AGREEMENT. YOU HAVE A RIGHT TO A COPY OF THIS AGREEMENT. YOU HAVE A RIGHT TO TERMINATE THE AGREEMENT. YOU HAVE A RIGHT TO RECOVER PART OF THE MONEY YOU HAVE PAID IF YOU TERMINATE THE AGREEMENT AFTER PAYING A CERTAIN PROPORTION OF THE HIRE PURCHASE PRICE. YOU HAVE A RIGHT TO APPLY TO A COURT FOR RELIEF IF YOU ARE IN ARREARS. YOUR ATTENTION IS SPECIFICALLY DRAWN TO THE PROVISIONS OF THE HIRE PURCHASE ACT (CAP. H4 LFN 2004) WHICH PROVIDE PROTECTIONS TO HIRERS, INCLUDING LIMITATIONS ON THE OWNER'S RIGHT TO REPOSSESS THE GOODS AND RIGHTS RELATED TO EARLY TERMINATION. FAILURE TO COMPLY WITH THE MANDATORY REQUIREMENTS OF THE HIRE PURCHASE ACT MAY RENDER THIS AGREEMENT UNENFORCEABLE.

11. GOVERNING LAW AND JURISDICTION

This Agreement shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the Nigerian courts.

12. ENTIRE AGREEMENT AND AMENDMENTS

This Agreement constitutes the entire understanding between the Parties concerning the subject matter hereof and supersedes all prior agreements, representations, and understandings. No amendment or modification of this Agreement shall be valid unless made in writing and signed by both Parties.

13. STAMP DUTY

This Agreement is subject to the provisions of the Stamp Duties Act. Parties agree to comply with all requirements for stamping this document within the prescribed timeframe.
